Terms of service

1. About Strata

Strata (the “Service”) provides software tools for researching, backtesting, and analyzing systematic trading strategies, and for exporting those strategies as code. The Service is not a broker, custodian, or investment adviser. We do not place trades on your behalf, hold funds, or have access to your brokerage or prop-firm accounts. By creating an account or using the Service you agree to these terms.

2. Eligibility

You must be at least 18 years old and legally able to enter contracts in your jurisdiction. You are responsible for compliance with the laws and regulations that apply to your trading activity, including any rules imposed by a proprietary trading firm whose account you trade.

3. Your account

You need an account to use the Service. Keep your credentials confidential — you are responsible for activity that happens under your account. Accounts are personal: one subscription covers one trader and may not be shared, pooled, or resold. Tell us promptly at legal@strataalgo.com if you believe your account has been compromised.

4. Subscriptions, billing, and refunds

Paid plans are billed in advance, monthly or annually, and renew automatically. Payments are processed by Stripe; we do not store your card details. You can cancel at any time and service continues through the end of the current billing period. Every paid plan includes a 14-day money-back guarantee: if Strata isn’t for you, email us within 14 days of your first charge and we will refund it in full. Renewal charges after the guarantee window are not refunded, but cancelling stops all future charges. If we change a plan’s price, the new price applies from your next renewal and we will notify you in advance.

5. Not investment advice

Nothing produced by the Service — including backtest results, scores, strategy suggestions, sizing recommendations, or assistant outputs — constitutes investment, financial, or trading advice, or a recommendation to buy or sell any instrument. Backtests are simulations built on historical data and assumptions about fills, slippage, and commissions that will differ from live conditions. Past performance, simulated or actual, does not guarantee future results. Futures and derivatives trading involves substantial risk of loss and is not suitable for everyone. Decisions you make with the Service’s output are yours alone.

6. Market data and licensed content

Historical and derived market data available in the Service is licensed for your use within the Service only. You may not extract, scrape, redistribute, or resell raw market data obtained through Strata. Strategy code you export (for example, Pine Script) is yours to use on your own accounts and platforms.

7. Your content

Strategies, code, prompts, and data you upload remain yours. You grant Strata a limited license to host and process this content solely to operate the Service. We do not train AI models on your content without explicit opt-in.

8. Acceptable use

You agree not to use the Service to attempt to manipulate markets, evade regulatory or prop-firm requirements, probe or disrupt our infrastructure, reverse-engineer the platform, scrape the Service, or run the Service against data licenses you do not have. We may rate-limit or suspend usage that degrades the Service for others.

9. Intellectual property

The Service — including the backtesting engine, the Strata Score methodology, the signal library, and all site content — is owned by Strata and protected by intellectual-property law. These terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. No rights are granted except as expressly set out here.

10. Third-party services

The Service depends on third parties — including Clerk (authentication), Stripe (payments), and Databento (market data) — and can export code for use on third-party platforms such as TradingView. Your use of those platforms is governed by their own terms, and we are not responsible for their availability or conduct.

11. Availability and changes to the Service

We work to keep the Service available but provide it “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We may add, change, or remove features; if we materially reduce what your paid plan includes, you may cancel and request a pro-rata refund of the unused period.

12. Limitation of liability

To the maximum extent permitted by law, Strata’s aggregate liability arising out of or relating to the Service is limited to the fees you have paid in the twelve months preceding the claim. Strata is not liable for trading losses, lost profits, lost data, or indirect, incidental, special, or consequential damages, even if advised of the possibility.

13. Indemnification

You will indemnify Strata against third-party claims arising from your trading activity, your violation of these terms, or your violation of any law or third-party right in connection with your use of the Service.

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your account for material breach of these terms; if we terminate without cause, we will refund the unused portion of any prepaid period. Sections that by their nature should survive termination (including 5, 6, 9, 12, and 13) survive.

15. Changes to these terms

We will notify you of material changes at least 30 days before they take effect, by email or in-product notice. Continued use of the Service after the effective date constitutes acceptance.
